TERMS OF SERVICE

My desire is to delight the client. In order to do this, I want to make sure that all terms and requirements are understood.

Cancellation Policy: If you make a deposit payment and then cancel the project before Pandenwolf Designs begins working on your project then Pandenwolf Designs will refund your deposit via company check within 60 days. Deposits are non refundable once the project has started or is in progress. Cancellation must be made in writing and submitted to Pandenwolf Designs.

Payment Terms: A 50% deposit and signed agreement is due before work will begin. Final payment is due prior to publication and/or delivery of the Web Site Design Project. All amounts must be in U.S. Dollars.

Default in Payment: The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.

Confidentiality & Non-Disclosure: Pandenwolf Designs recognizes and acknowledges that this Agreement creates a confidential relationship between Pandenwolf Designs and Client and that information concerning Client's business affairs, customers, vendors, finances, properties, methods of operation, computer programs, and documentation, and other such information, whether written, oral, or otherwise, is confidential in nature. All such information concerning Client is hereinafter collectively referred to as "Confidential Information." Pandenwolf Designs agrees that, except as directed by Client, it will not at any time during or after the term of this Agreement disclose any Confidential Information to any person.

Indemnification: The Client shall indemnify Pandenwolf Designs against and hold Pandenwolf Designs harmless from any and all claims, actions, suits, proceedings, costs, expenses, damages, and liabilities, including attorneys’ fees, claimed by any person, organization, association or otherwise arising out of, or relating to, the web pages or its creation, use, possession operation and/or condition. The provisions of this paragraph shall survive the termination of this agreement.

Accessibility: Pandenwolf Designs develops website pages so that the content and functions built into the website are available to the majority of visitors using the majority of web browsers. Pandenwolf Designs does not guarantee the site code will be error free or to pass any 3rd party validation or disability compliance tools. If client requires disability compliance or code validations, it is the clients responsibility to request this as an add-on service so that Pandenwolf Designs can add it into the estimate/quotation.

Copyrights and Trademarks: The client represents to Pandenwolf Designs and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Pandenwolf Designs for inclusion are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Pandenwolf Designs from any claim or suit arising from the use of such elements furnished by the client.

Techiques and Practices: It is not the responsibility of Pandenwolf Designs to teach and inform clients on all web techniques or practices etc.

Web Hosting and Domain Name Registration: Pandenwolf Designs does not provide web hosting or domain name registration. The client must set this up via a separate company that offers these services. Pandenwolf Designs will help walk the client through the process if requested. Pandenwolf Designs is not responsible for the clients web hosting or domain name registration.

Delivery of Work: The final Web design project will be published to the Client's hosting service upon receipt of final payment or upon request Pandenwolf Designs will mail the files in a CD to client. The Client understands that Pandenwolf Designs does not provide any hosting services in connection with this Web Design Project. Hosting services require a separate contract with the hosting service of the Client's choice. The Client agrees to select a hosting service which allows Pandenwolf Designs full access to the Client's host account via FTP.

Sole Agreement: This agreement constitutes the sole agreement between Pandenwolf Designs and the Client regarding this Web and/or Graphic Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both Client and Pandenwolf Designs. All prices specified in this contract will be honored for 3 months after both parties sign this contract. Continued services after that time will require a new agreement.
